Please read these Testing Terms and Conditions carefully before submitting your order for testing services from Celvia CC AS (hereinafter: Celvia). By submitting your order, you provide your acceptance of these Terms and Conditions. If you do not agree to all of these Terms and Conditions, you may not use this website or testing services.

Celvia may revise these Terms and Conditions at any time and for any reason. Valid Terms and Conditions are at all time available on the website. Please read the Terms and Conditions each time before submitting an order. By continuing use of the website and Celvia services after any changes you will be accepting such changes.

These Terms and Conditions shall be governed by the laws of Estonia. The courts of Estonia will have exclusive jurisdiction to adjudicate any dispute arising under or in connection with these Terms and Conditions and testing performed by Celvia.

In the context of these Terms and Conditions a ‘customer’ is an ordering person submitting anorder to Celvia.

Information of the sample material

  1. All requirements and instructions for samples are published on Invisiblemi website.
  2. The test is performed if: 2.1 The submission/consent form has been filled in as required; and 2.2 quality requirements have been followed in the process of collecting the sample material; and 2.3 quality and quantity of the sample material is in accordance with the requirements of Celvia; and
  3. Celvia shall not be responsible for the loss of the sample sent for testing or for being sent to a wrong address or for breaking the container during transportation.
  4. Celvia is entitled to ask for additional sample material if the quantity or quality needed for testing is not in compliance with the requirements.
  5. The remaining sample material is stored one year. In case there is not enough sample material for storing and the customer wishes later to perform a repeated analysis of the new sample material, Celvia shall not be responsible on differences in the results received by carrying out the new analysis.
  6. Celvia may use remaining anonymised sample material for quality improvements and/or scientific purposes.

Performance of the test

  1. Testing is for informational purposes only, it is not medical advice, and it is not substitute for professional medical advice, diagnosis or treatment.
  2. Testing performed by Celvia is in accordance with the good practice of laboratory and international quality requirements.
  3. Turnaround time of the test depends on the testing method used. Celvia will do everything to submit the results of the test at first possibility, but Celvia will not take responsibility for the delay of the results due to unforeseen time-consuming cases.

Limitations of the testing

The development of the test and the performance of the analyses are based on our current knowledge of the molecular biological data and it may change over time as more information becomes available. Due to the variability of biological material and the molecular biological methods used, in rare cases, the result of the test may appear to be invalid. In case of microbiome analysis. This may be due to Next Generation Sequencing being limited in distinguishing between live and dead microbes using bacterial 16S rRNA sequencing.

Interpretation of the results of microbiome analysis

The purpose of microbiome analysis is to describe the overall composition of genital tract bacteria, analyse its influence to individual’s health, and detect pathogenic bacteria.

  1. It should be taken into consideration that microbiome analysis is performed from vaginal/seminal/endometrial sample. The sample material of the test includes live microbes that may reproduce in the time period between sampling and analysing. Therefore, the percentage of microbes in sample material may change during long-term storage. Due to the above-mentioned reasons the results of the analysis may not reflect actual composition of genital tract bacteria.
  2. The method used in microbiome analysis does not allow distinguishing between live and dead microbes, and therefore the composition of microbes detected in analysis may not completely coincide with the actual composition of the bacteria affecting human organism.
  3. Reported composition of bacteria may not be complete, the absence of bacterium in the results does not exclude the actual presence of the bacterium in the genital tract.
  4. Microbiome analysis may not enable detection of the cause of disease or health problem despite detected findings. Even if microbiome analysis enables detecting the cause of disease health problem, the information may not aid in prognosis or treatment of disease.
  5. Every individual may be adjusted to living with one’s microbiome, therefore themicrobiome composition different from reference group may not certainly cause infertility,diseases or health problems. Nevertheless, a microbiome similar to reference group may not exclude occurring health problems.
  6. Microbiome composition is one of the factors in infertility, the causes of diseases and health problems; environment and lifestyle influences play also an important role.
  7. Drug (especially antibiotics) consumption, diseases, age, stress, pregnancy, sexualbehavior, lifestyle and environmental factors are all contributing to microbiome compositionsignificantly. Recommendations included in results report may not be complete and may not affect microbiome composition in foreseen and desirable direction.
  8. In the interpretation of microbiome analysis, it should be taken into consideration that current knowledge on the impact of bacteria on their human host, may be incomplete. The current interpretation of microbiome analysis may be subjected to change in the future due tooth publication of new scientific investigations.
  9. Celvia is not responsible for legal, material, social, psychological, or moral consequences that may appear in association to the results of microbiome analysis.

Issue of the test Results

  1. The test results will be issued only to the customer of the test. Copy of the results will beside only to the person(s) whose name(s) and data have been marked on the submission form. Celvia shall not disclose the personal data of the individual or the results of the test tooth third parties.
  2. Celvia may use remaining anonymised test results for quality improvements and/or scientific purposes.
  3. The customer has a right to renounce the knowledge of the test results by informing Celvia in writing before the results have been issued, whereas it does not give the customer the right reclaim the sum paid for the test. Price, Payment and Cancellation
  4. Celvia reserves the right to change prices at any time. Irrespective of any change of prices the customer will be charged the price, which was specified for the service when the orders placed.
  5. If the customer selects payment with invoice, then it should be paid within 10 calendar daisies from the date marked on the invoice unless agreed differently. In case of delay of the payment, Celvia is entitled to add an overdue charge of 0.1% of the amount per each calendar day to the invoice.
  6. Order may be cancelled by the customer until Celvia has not sent the testing kit to customer and begun to analyse the sample. Order is not eligible to be cancelled if the analysis is in the process.
  7. Orders cancelled by the customer after the collection kit has been delivered to the customer,75% of the test price will be refunded.

Warranties and disclaimers

  1. Celvia, its divisions, subsidiaries, parent companies or their employees shall not be liable for any direct, consequential, indirect or any other damages arising out of performed tests ours of tests results. This includes liability for personal injury or death.
  2. The customer hereby agrees to indemnify Celvia, its divisions, subsidiaries, parent companies or their employees in respect to all loss or damage suffered in connection to use of this website or Celvia testing services and in respect of all claims or legal proceeding brought by any third party which arise in connection to such services.
  3. In no case shall the liability of Celvia, its divisions, subsidiaries, parent companies or their employees exceed the amount paid by the customer for the particular testing. Any claim against Celvia, its divisions, subsidiaries, parent companies or their employees shall resubmitted within 6 months as from issue of the test results, otherwise the claim is deemed Kobe expired.

Terms of Sale

  1. Scope and validity of the Terms of Sale
    1. These Celvia Online Store Terms of Sale constitute as a legally binding agreement made between a person or an entity (hereinafter the Buyer) making the purchase of the TestingService (hereinafter the Service) in the Celvia Online Store InvisibleMi.eu, and the owner of the Celvia Online Store located at the internet address: www.invisiblemi.eu, being Celvia, registry code 11673707, address Teaduspargi tänav 13, 50411 Tartu, Estonia, phone: +372 733 0401, email: info@invisiblemi.eu(hereinafter Celvia). The Buyer and Celvia hereinafter jointly referred to as the Parties.
    2. The Buyer confirms to have read and agrees to comply with the Terms of Sale and treats them as binding prior to entering the Sale and Purchase transaction of the Service rendered by Celvia. The Buyer who does not agree with the Terms of Sale will not be able to make a Salad Purchase transaction in the Celvia Online Store.
    3. Celvia is entitled to modify, supplement or amend the Terms of Sale at any time and for any reason. All modifications or supplements of the Terms of Sale are available on the Celvia Website and shall take effect immediately upon the publication of such modification or supplement on the Celvia Website.
    4. All Personal Data of the Buyer disclosed during the Sale and Purchase transaction in the Celvia Online Store shall be treated as confidential.
    5. Any issues not regulated by the Terms of Sale shall be governed by the legal acts of the Republic of Estonia.
  2. Sale of the Services
    1. A Service sold in the Celvia Online Store is subject to the price shown on the Celvia Website.
    2. The price of the Service is specified in euros and includes 22% VAT (value added tax). If VAT rate changes, the price of the Service shall be adjusted by the change in VAT rate.
    3. The price of the Service includes the fee for the mail delivery of the Sample Collection kit to the Buyer and for returning the Collected Sample to Celvia (except circumstances stipulated in Section 2.5).
    4. In case, the Buyer wishes to receive the Sample Collection kit and return the Collected Sample to Celvia in a manner different from that described on the Celvia Website, the Buyer shall pay for the delivery and return at the amount agreed in advance with Celvia.
    5. If the destination for sending the Sample Collection kit is other than the Estonia, the Buyer shall pay for the return of the Collected Sample to Celvia.
    6. Celvia is entitled to change the price of the Service at any time without any prior notice. If the order has been placed prior to the effective date of the price change, the price valid onto order date shall apply to the Service
    7. The Buyer shall pay for the Service according to the valid price. Celvia accepts the following forms of payment: PayPal, credit card (Visa, MasterCard), bank links (Swedbank,SEB, Luminor, LHV, Coop; applicable only in the Republic of Estonia). When processing personal data, Celvia is the data controller. Celvia shall pass the data needed for payment processing to Montonio Ltd who acts as a data processor.
  3. Placing an Order, Conclusion of Sales and Purchase transaction
    1. The Buyer can be a private or a legal person with legal capacity. By placing an Order, the Buyer confirms to have the legal capacity and/or authorisation to perform the transaction. The Buyer with restricted legal capacity (ie. a person under 18 years of age), by accepting theTerms of Sale, confirms that their legal representative has given their consent to conclude the transaction and use the necessary funds.
    2. The shopping cart is created when the Buyer clicks the “Order” button next to the Service. Adding a Service in the Shopping Cart does not oblige to purchase the Service. The content of the shopping cart can be changed at any time. Before submitting the order, the Buyer can change, add or remove Service and cancel the purchase.
    3. To place an order in the Celvia Online Store, the Buyer shall click on the “Submit Order” button on the Shopping Cart page. When placing an Order, the Buyer shall fill in a virtual form with the personal data (first name, last name, the destination of the Sample Collection kit: city, address, postal code; contact phone number, email address; in case of a legal entity, the business name of the legal entity).
    4. The Buyer shall be obliged to read and acknowledge the Terms of Sale, Terms and Conditions, and Privacy Policy of Celvia Online Store before confirming the order; and select preferred payment method to pay for the order
    5. The order shall be deemed confirmed upon the Buyer has paid for the order placed in the Celvia Online Store. The Buyer shall receive an Order confirmation and a payment receipt by e-mail.
    6. A Sales and Purchase Transaction shall be deemed to have been concluded upon sending Order confirmation to the Buyer’s email address.
  4. Order Processing
    1. Celvia shall deliver the Sample Collection Kit to the Buyer by Omniva parcel terminal(except the destination for sending the Sample Collection kit is outside the Estonia) according to the Buyer’s choice made in the Celvia Online Store.
    2. Celvia shall arrange the delivery of the Sample Collection Kit to the Buyer within 3(three) business days from the confirmation of the Order, unless the deadline cannot be met due to unforeseen circumstances beyond the control of Celvia.
    3. If the destination for sending the Sample Collection kit is outside the Estonia, the specific terms and practices of delivery of the Sample Collection Kit will depend on the courier service provider and will be beyond the control or foresee ability of Celvia.
    4. Celvia shall not be liable for delay in delivery or non-delivery of the Sample Collection Kit due to inaccurate information provided by the Buyer when placing the Order.
    5. Celvia shall notify the Buyer of receiving the Sample Material by sending a confirmation letter to the Buyer’s email address.
    6. The delivery deadline of the Service may be delayed due to the circumstances beyond the control or foreseeability of Celvia including technical failures and Force Major (Force Majeure, as stipulated in Section 6.2.).
    7. If the applicable turnaround time of the Service is exceeded due to technical failures longer than 20 (twenty) business days, the Buyer shall be entitled to withdraw from the Salinas Purchase Transaction and to claim a refund for the payment for the Service
    8. The Service shall be deemed completed upon the delivery of the results to the Buyer.
  5. Withdrawal from the Sales and Purchase Transaction
    1. The Buyer has the right to cancel the Order before the Sample Material has been received by Celvia.
    2. To exercise the Order cancellation right, the Buyer shall notify Celvia of the cancellation decision in writing via email info@invisiblemi.eu
    3. In case the Buyer cancels the Order after the Sample Collection Kit has been sent to the Buyer, Celvia shall refund 75% of the payment for the Service to the Buyer’s bank account within 14 (fourteen) calendar days from the cancellation request received by Celvia.
    4. The Buyer has the right to refuse to know the results of the Service by notifying Celvia in writing before the results are sent to the Buyer. The refusal to know the results shall not entitle the Buyer to claim a refund for the payment for the Service.
  6. Liability and Force Majeur
    1. Celvia and the Buyer shall be liable for damages to the other Party when violating these Terms of Sale and to the extent provided by the legislation of the Estonia.
    2. Celvia shall not be liable for any damage to the Buyer, if delay in delivery of the Service is due to the circumstances beyond the control or foreseeability of Celvia including technical failures and Force Majeure. Force Majeure shall mean all unavoidable and unforeseeable events beyond the reasonable control of Celvia. Such events shall include general black outs, fires, explosions, natural disasters and other events which are accepted as Force Majeure in general international practice.
  7. Settlement of disputes
    1. All claims by the Buyer against the Celvia’s Service shall be sent in writing to info@invisiblemi.eu.
    2. The Buyer and Celvia shall attempt to resolve all disputes relating to this Sales and Purchase Transaction by negotiations. If the Parties fail to resolve the disputes relating to this Sales and Purchase Transaction with negotiations, the Buyer is entitled to contact the European Union Consumer Dispute Resolution Platform.
